These Terms and Conditions ("Terms") govern your access to and use of presenceonpurpose.com and primedpresence.com (collectively, the "Site"), any lead magnets or free resources you download, any email list you join, any event you register for or attend, any coaching program, course, masterclass, or membership you purchase, and any account you create to access the Primed Presence™ AI practice tool, all from Presence on Purpose, LLC ("Presence on Purpose," "we," "us," or "our") (collectively, the "Services").

Primed Presence™ is hosted at its own domain (primedpresence.com) but is a product of, and is operated by, Presence on Purpose, LLC. It is governed by these same Terms, and your account and customer record are managed through a single, shared system across both domains.

By accessing the Site, opting in to a free resource, registering for an event, creating a Primed Presence account, or purchasing a program, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and that you have the legal authority to enter into these Terms, whether on your own behalf or on behalf of an organization.

2. Free Resources and Lead Magnets

Free guides, worksheets, diagnostics, and other lead magnets are provided for your personal, non-commercial use. They may not be copied, reproduced, distributed, resold, or shared with individuals who have not independently opted in, without our prior written consent.

3. Events, Masterclasses, and Webinars

• Registration for any live or virtual event constitutes acceptance of these Terms and any event-specific terms communicated at the time of registration.
• We reserve the right to change speakers, content, dates, times, or venue, or to cancel an event, at our discretion. In the event of cancellation by us, registered attendees will be offered a refund, credit, or an alternate date, at our discretion.
• Unless otherwise stated at the time of purchase, registration fees for paid events are non-refundable once the event has occurred.
• By attending an in-person event, you consent to being photographed, filmed, or recorded for use in future marketing, unless you notify us in writing in advance.

4. Programs, Courses, and Memberships

• Access to paid programs, courses, or memberships is granted upon receipt of full or installment payment as described at checkout, and is for your individual, non-transferable use.
• You may not share your login credentials, reproduce, record, distribute, or resell any program materials, frameworks, or proprietary content.
• All content, curriculum, frameworks, branding, and materials provided as part of any program remain the exclusive intellectual property of Presence on Purpose, LLC, as further described in Section 8 below.
• Refund and cancellation terms for any specific program will be disclosed at the point of sale and are governed by that program's individual sales agreement, which supplements these Terms.

5. Primed Presence™

Primed Presence™ is hosted at primedpresence.com and operated by Presence on Purpose, LLC. Creating a Primed Presence account, starting a free trial, or purchasing a Primed Presence subscription is governed by a separate Primed Presence Terms of Service, which you must affirmatively accept at account creation. That document — not this one — controls your use of the AI practice tool, account access, billing, auto-renewal, and cancellation. These Site Terms continue to govern your general use of presenceonpurpose.com and primedpresence.com as a visitor (for example, browsing marketing pages or downloading a free resource) and the intellectual property and dispute-resolution provisions below apply across both domains.

6. Payments

Payments for events, programs, and Primed Presence subscriptions are processed through our third-party payment processor(s). By making a purchase, you authorize us (or our processor) to charge the payment method provided, including on a recurring basis for subscriptions as described in Section 5. You are responsible for providing accurate billing information and for any fees, taxes, or currency conversion costs associated with your purchase.

7. Results and Earnings Disclaimer

Any testimonials, case studies, or results referenced on the Site or in our marketing reflect individual experiences and are not guarantees of similar outcomes. Your results will depend on factors unique to you, including your effort, consistency, and circumstances. Presence on Purpose makes no guarantee, express or implied, regarding specific business, leadership, financial, or personal results from use of the Site, free resources, events, programs, or Primed Presence.

8. Intellectual Property

All content on the Site and within our programs, events, and the Primed Presence tool — including but not limited to text, frameworks, graphics, logos, the "Presence on Purpose" and "Primed Presence" names and marks, worksheets, diagnostics, scenario content, video, and audio — is the property of Presence on Purpose, LLC and is protected by U.S. and international copyright and trademark law. No part of this content may be copied, reproduced, distributed, publicly displayed, or used to create derivative works without our prior written permission.

9. User Conduct

You agree not to:

• Use the Site or Services for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Site, our systems, or another user's account
• Interfere with or disrupt the operation of the Site, Primed Presence, or any event
• Misrepresent your identity or affiliation
• Record, reproduce, or redistribute proprietary program, event, or Primed Presence session content without authorization
• Use Primed Presence to generate or attempt to elicit unlawful, abusive, or harmful content

10. Third-Party Links and Tools

The Site and our communications may contain links to third-party websites or tools (such as payment processors, scheduling platforms, social media, or the AI model provider that powers Primed Presence). We do not control and are not responsible for the content, privacy practices, or terms of those third parties.

11. Disclaimer of Warranties

The Site and Services, including Primed Presence, are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site or Primed Presence will be uninterrupted, error-free, or secure, or that AI-generated output will be accurate or complete.

12. Limitation of Liability

To the fullest extent permitted by law, Presence on Purpose, LLC, its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Site or Services, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Presence on Purpose, LLC and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Site or Services or your violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law principles. Any dispute arising out of these Terms or the Services shall be resolved in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
